Porsche Increases Stake to 30% in Volkswagen, Denies Reports of Full Takeover

Porsche has once again increased its stake at Volkswagen—Europe’s largest automaker and manufacturer of VW oil filters. And the auto industry is anxiously waiting anytime soon for the announcement of a takeover. But boy will they be disappointed since Porsche has ruled out the possibility of a full takeover of Volkswagen this was according to an official announcement that was recently given by the German sports car manufacturer.
Porsche said that despite of the fact that it has raised its stake in Europe’s largest automaker to 30 percent still it wants to make it clear that it wants is to protect Wolfsburg-based automaker from any type of hostile bid.
The German sports car manufacturer also plans to launch the compulsory offer at €35 billion (£23.7 billion) or €100.92 per share which is rather below the opening price that Volkswagen obtained recently of €114.1. Analysts also expect Porsche to slowly increase its holding above 50 percent.
Porsche purchased the additional stake at Volkswagen after the European court of Germany repealed the so-called Volkswagen Law which limits the shareholder’s voting rights to 20 percent regardless of whether they own a large stake at Volkswagen.
After news came out that Porsche would possibly takeover of Volkswagen, Wolfsburg-based carmaker‘s shares decline by $3.3 closing at €114. The decline in Volkswagen shares was the opportunity which analysts were saying that would allow the sports car group to purchase even more shares at Volkswagen at a cheap price.
Due to the sudden decline in Volkswagen shares the Deutsche Bank has lowered its recommendation on Volkswagen from “hold” to “sell”.
Despite Porsche’s claim that it will not go for a full takeover but many are still doubtful of its real intentions. And hopefully it won’t have any adverse effect on Volkswagen’s sales output. It should be noted that the two carmakers have become increasingly connected, driven by the companies’ connection with Ferdinand Piech who happens to be the grandson of Porsche’s founder Ferdinand Porsche and chairman of Volkswagen.

Where can I find information on the original tire size for my 1972 Porsche?

The tires will soon need replacement and I would like to go with a softer-riding tire, but one that would allow for occasional spirited driving, as well as for freeway driving. It would be helpful if I could find out what the original tire size was when the car was new. It would also help explain any variations in the speedometer.

Porsche Waiting for Eu’s Court Legal Opinion

He also added, “The time has now come where Volkswagen law has to be curtailed in line with 21st century market economics. Porsche is on the cusp of where it has 30% and this will clear the way toward a full acquisition.”
Lower-Saxony is where Wolfsburg-based Volkswagen and four of its factories are based and the automaker’s second largest shareholder with a stake of about 20%. The Volkswagen law allows any investor with a 20% stake veto powers over major decisions such as those that concerns factory closing and capital increases.
It should be noted that during the December 12, 2006 hearing, the European Commission, EU’s Brussels-based regulator in a court hearing, restricts the free movement of capital, comparing the law to special holdings, or “golden shares” that some countries hold in former state monopolies. The court has agreed with the regulator in such cases in the past and even forced countries like France, UK and Spain to give up these powers.
Last year the German government told the EU court that the law just can’t be labeled discriminatory simply because an investor is given a limited 20% minority right. The supervisory board of Porsche maker of the remarkable 911 Carrera, has approved increasing its stake in Volkswagen to 29.9% as of last November 15, 2006. A month after, Porsche CEO Wendelin Wiedeking has told reporters that there were no immediate plans for a complete takeover of Volkswagen but its not ruling out the possibility of an eventual offer.
Porsche wants the Volkswagen Law overturned since it gives the government a significant influence on the management of Europe’s largest automaker and hinders the shareholder’s own voting power to reflect its stakes. In 1934, design work on a compact car was backed by the National Socialist party, who wanted to see an affordable car for working Germans. Originally named the Porsche 60, it became officially known as the Volkswagen (people’s car).
In 1938 Ferdinand Porsche senior left the Auto Union racing team and moved to the new Volkswagen plant to manage production of the Volkswagen that began in 1939. However, the Volkswagen factory had produced few cars when war was declared and this led to production being switched from civilian to military vehicles.
At the end of the Second World War, the Porsche family were asked by the French government to design and build a French version of the Volkswagen, but this met with political resistance and both Porsche’s ended up being arrested for war crimes and, without trial, a hefty 500,000 each was demanded for their release.
Sufficient money was paid for the son, Ferry Porsche, to be released. However, Porsche senior was held for over a year and a half and forced to assist Renault before his son raised the money to have him freed.
Ferry Porsche re-established the design business in Austria and won a contract to design Grand Prix racing cars for Piero Dusio. The Porsche 360 Cisitalia was born.

These developments enabled the Porsche name to become established as an independent manufacturer of motor cars.
In 1961 work began on the replacement model for the Porsche 356, a new six cylinder engine with the body designed by Ferdinand Alexander Porsche, Ferry Porsche’s son.
Originally called the 901, a legal challenge by Peugeot on the format of the name led to the 901 being renamed the Porsche 911.
In 1963, at the Frankfurt International Automobile Show, Porsche revealed the 911 and production started the following year. The Porsche 911 remained true to its predecessor, with an air-cooled flat engine in the rear.
In 1972 Ferry Porsche decided to turn Porsche from a partnership into a public company, Porsche GmbH and stayed on the board until his death in 1998.
